Merchant Terms

1. Introduction
These Merchant Terms ("Merchant Terms") govern the relationship between TengaSale and merchants who have been granted access to the TengaSale platform to originate, manage, and support device financing contracts. Merchant access to the platform constitutes acceptance of these Merchant Terms, the general Terms of Service, and all applicable policies.
TengaSale reserves the right to amend these Merchant Terms at any time. Updated terms will be published on this page with an updated date. Continued use of the platform after changes constitutes acceptance.
2. Merchant Onboarding
Access to the TengaSale merchant platform is granted following a formal onboarding process. To become a TengaSale merchant, you must:
- Submit a merchant registration request to TengaSale;
- Provide business registration details, contact information, and operating address;
- Complete any identity and business verification steps required by TengaSale;
- Agree to these Merchant Terms and the general Terms of Service;
- Receive written confirmation of merchant account activation from TengaSale.
TengaSale reserves the right to approve or decline any merchant application at its sole discretion.
3. Platform Access and Use
Approved merchants receive access to the TengaSale merchant dashboard. This access is personal and non-transferable. Merchants must:
- Keep login credentials secure and not share access with unauthorised individuals;
- Notify TengaSale immediately if access credentials are compromised;
- Use the platform only for its intended purpose of originating and managing financing contracts;
- Not attempt to access data belonging to other merchants or customers outside of their authorised scope;
- Comply with all usage policies and technical guidelines issued by TengaSale from time to time.
4. Sales Conduct Expectations
Merchants are responsible for the conduct of all financing applications submitted through the TengaSale platform. Merchants must:
- Obtain the customer's informed consent before submitting an application on their behalf;
- Accurately represent the product, price, deposit, and repayment terms to the customer prior to application;
- Not misrepresent TengaSale's products, services, or approval likelihood to customers;
- Not submit applications for fictitious or non-consenting customers;
- Ensure the customer has access to their repayment schedule before the device is released;
- Only release devices to customers after the deposit has been confirmed and the contract has been activated.
5. Customer Information Handling
Merchants are responsible for collecting and handling customer information in compliance with applicable Malawi data protection obligations and TengaSale's Privacy Policy. Specifically, merchants must:
- Collect and securely store copies of customer National IDs and any other KYC documents as required;
- Not use customer information obtained through the TengaSale platform for any purpose other than administering the financing contract;
- Not share customer information with third parties outside of the TengaSale platform without the customer's consent and TengaSale's knowledge;
- Report any suspected data breach or unauthorised access to customer data to TengaSale promptly.
6. Merchant earnings
Eligible merchant earnings are governed by the commercial terms agreed during onboarding. Payment timing and account management are governed by the individual merchant agreement.
Tenga may withhold or reverse earnings where the agreed terms or applicable law require it.
7. Repayments and Records
Merchants have access to repayment status and contract progress for all contracts they have originated. Merchants are expected to support their customers in understanding their repayment obligations and using the payment portal.
Merchants must not instruct customers to make payments through channels outside of the TengaSale platform without prior authorisation from TengaSale. All payments must be processed and recorded through the platform to ensure contract integrity.
8. Merchant Obligations Upon Default
Where a customer defaults on a contract originated by a merchant, TengaSale may require the merchant to assist in customer outreach, recovery efforts, or device collection, subject to the terms of the individual merchant agreement.
Merchants who have provided guarantees or security for their portfolio are liable to the extent specified in their individual merchant agreement.
9. Suspension and Termination
TengaSale reserves the right to suspend or terminate a merchant's platform access in the following circumstances, among others:
- Breach of these Merchant Terms or the general Terms of Service;
- Fraudulent or deceptive conduct in the submission of financing applications;
- Failure to comply with KYC or data protection obligations;
- Excessive portfolio default rates as defined in the merchant agreement;
- Non-payment of any amounts owed to TengaSale under the merchant agreement;
- At TengaSale's discretion for any other reason with reasonable notice.
Upon termination, the merchant's access to the platform will be revoked. Existing contracts originated by the merchant will continue to be managed by TengaSale. The merchant remains liable for obligations incurred prior to termination.
10. Audit and Compliance
TengaSale maintains audit logs of all merchant actions on the platform. Merchants acknowledge that their platform activity is logged and may be reviewed for compliance, dispute resolution, and operational oversight purposes.
TengaSale may request documentation or information from merchants in connection with regulatory inquiries, audits, or legal proceedings. Merchants agree to cooperate with such requests within a reasonable timeframe.
11. Limitation of Liability
TengaSale is not liable for losses arising from a merchant's failure to comply with these Merchant Terms, including losses resulting from fraudulent applications, incorrect customer information, or unauthorised access resulting from inadequate credential security.
